Job Description
We are seeking a highly skilled and experienced Corporate Lawyer to join our dynamic legal team in Indianapolis. This critical role involves providing expert legal advice and support across various corporate functions, including mergers & acquisitions, corporate governance, commercial contracts, regulatory compliance, and intellectual property. The successful candidate will be instrumental in safeguarding Lilly’s interests and ensuring adherence to all applicable laws and regulations. Key Responsibilities
- Provide legal counsel on a broad range of corporate legal matters, including transactions, governance, and compliance.
- Draft, review, and negotiate complex commercial agreements, M&A documentation, and other corporate legal instruments.
- Ensure corporate governance best practices are maintained and advise on board and committee matters.
- Advise on regulatory compliance, risk management, and litigation avoidance strategies.
- Manage and oversee external legal counsel relationships as needed.
- Collaborate with internal stakeholders across various departments to achieve business objectives while mitigating legal risks.
- Stay abreast of developments in corporate law and industry regulations.
Required Skills
- Juris Doctor (J.D.) degree from an accredited law school.
- Admitted to practice law in at least one U.S. state (Indiana bar eligibility preferred or willingness to obtain).
- Minimum of 5 years of experience in corporate law, preferably within a large law firm or in-house legal department of a multinational corporation.
- Strong knowledge of corporate governance, M&A, commercial contracts, and regulatory compliance.
- Excellent analytical, negotiation, and communication skills.
- Proven ability to manage multiple complex legal projects simultaneously.
- Demonstrated ability to work effectively in a fast-paced, global environment.
Preferred Qualifications
- Experience in the pharmaceutical or biotechnology industry.
- Master of Laws (LL.M.) in a relevant field.
- Experience advising on international corporate matters.
- Fluency in additional languages.
