Job Description
Foster Garvey PC is seeking a highly skilled and motivated Corporate Lawyer to join our dynamic team in Spokane, Washington. This is an exceptional opportunity for an attorney with strong corporate law experience to contribute to a diverse range of transactions and advisory matters for our valued clients. The ideal candidate will possess expertise in corporate governance, M&A, commercial contracts, and general business law. Key Responsibilities
- Advise clients on a broad spectrum of corporate law matters, including entity formation, corporate governance, and compliance.
- Draft, review, and negotiate complex commercial contracts, including service agreements, vendor agreements, and licensing agreements.
- Manage and execute mergers, acquisitions, dispositions, and other corporate transactions from due diligence through closing.
- Provide legal counsel on securities law matters, private placements, and capital raises.
- Assist clients with intellectual property considerations, data privacy, and regulatory compliance.
- Conduct legal research and provide accurate, timely, and practical advice to clients.
- Collaborate effectively with colleagues across practice groups to deliver comprehensive client solutions.
- Mentor junior attorneys and support staff as needed.
Required Skills
- Juris Doctor (JD) degree from an ABA-accredited law school
- Active membership in good standing with the Washington State Bar (or ability to waive in)
- Minimum of 5 years of experience practicing corporate law at a law firm or in-house legal department
- Proven experience with M&A transactions, corporate finance, and commercial contracts
- Excellent legal research, writing, and communication skills
- Strong analytical and problem-solving abilities
- Ability to manage multiple projects and deadlines in a fast-paced environment
- Demonstrated ability to work independently and as part of a team
Preferred Qualifications
- Experience with international business transactions or cross-border M&A
- Background in specific industries such as technology, healthcare, or manufacturing
- Proficiency in additional languages
- Experience advising startups or emerging companies
